5. Client Responsibilities

Clients agree to:

• Supply necessary materials, content, and assets in a timely manner
• Respond to requests for feedback and approvals within agreed timeframes
• Maintain open and professional communication
• Provide access to necessary systems and platforms
• Ensure they have rights to any materials they provide

Delays caused by client non-compliance may result in project timeline extensions and potential additional fees.

6. Intellectual Property

Upon full payment for services:

• Clients receive ownership of final deliverables created specifically for their project
• Nexovate retains ownership of pre-existing materials, templates, and proprietary tools
• Nexovate may showcase completed work in our portfolio unless otherwise agreed
• Clients grant Nexovate the right to use project materials for promotional purposes
• Third-party components remain the property of their respective owners

7. Revisions and Changes

Each project includes a specified number of revision rounds. Additional revisions beyond the agreed scope may incur extra charges. Significant changes to project scope after work has begun will require a new proposal and may affect timeline and pricing.

8. Project Timelines

We strive to meet all agreed deadlines. However, timelines are estimates and may be affected by factors including client delays in providing materials or feedback, scope changes, technical issues, or circumstances beyond our control. We will communicate any delays promptly.

9. Warranties and Disclaimers

We warrant that our services will be performed with professional skill and care. However:

• We cannot guarantee specific business results or outcomes
• Website performance may vary based on hosting, user devices, and internet connections
• Third-party integrations and services are subject to their own terms and availability
• We are not responsible for content provided by clients

Services are provided "as is" without warranties of any kind, either express or implied.

10. Limitation of Liability

To the maximum extent permitted by law, Nexovate shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services.

11. Confidentiality

We respect the confidentiality of client information and will not disclose sensitive business information to third parties without consent, except as required by law or as necessary to provide our services. Clients agree to maintain confidentiality of any proprietary processes or information shared by Nexovate.

12. Termination

Either party may terminate a project agreement:

• By mutual written agreement
• For breach of terms with appropriate notice
• For non-payment after reasonable notice period

Upon termination, client will pay for all work completed up to the termination date. Nexovate will provide work completed to that point upon receipt of payment.

13. Support and Maintenance

Post-launch support terms are specified in individual project agreements. Ongoing maintenance services are available separately. Bug fixes during the warranty period (if specified) are included. New features or significant changes after project completion require separate agreements.

14. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which Nexovate operates, without regard to its conflict of law provisions.

15. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes are posted constitutes acceptance of the revised terms.
